Terms of Service

These Terms of Service constitute a legally binding agreement between you and Boolean Array Canada, the owner and operator of ElseLane, governing your access to and use of the ElseLane AI answer API, website, and related services. By using the Service you agree to be bound by them.
1. Acceptance of Terms
- These Terms of Service ("Terms") are an agreement between you ("User", "you", or "your") and Boolean Array Canada ("Boolean Array Canada", "we", "our", or "us"), operator of ElseLane ("ElseLane" or the "Service").
- By creating an account, purchasing credits, calling the API, or otherwise using the Service, you agree to these Terms and our Privacy Policy.
- If you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation.
2. Description of Service
- ElseLane is a credits-first developer API that classifies prompts, routes them across configured AI provider chains, and attempts automatic failover when a primary provider fails.
- The Service includes a dashboard for API keys, billing, usage metadata, and account settings, plus related websites (docs, status, and legal pages).
- ElseLane is not a guarantee that every request will succeed. Failover improves resilience but depends on upstream provider availability, your credit balance, rate limits, and acceptable-use enforcement.
3. Account Registration and Responsibility
- You must provide accurate registration information and keep it current.
- You are responsible for safeguarding credentials and API keys and for all activity under your account, whether or not authorised by you.
- Notify us promptly at contact@elselane.com if you suspect unauthorised access.
- Accounts may be used by natural persons aged 16 or older, or by legal entities through authorised representatives.
4. Acceptable Use
- You agree not to use the Service to violate law, infringe rights, distribute malware, attempt unauthorised access, reverse engineer the Service except where mandatory law permits, abuse rate limits, or resell/white-label the Service without our written consent.
- You are responsible for content you submit to the API, including prompts and system messages, and for ensuring you have rights to process that content through third-party AI providers.
- You must not intentionally bypass PII or safety controls, or use the Service to generate content that is unlawful or that you intend to use for fraud, exploitation, or other prohibited purposes.
- We may rate-limit, suspend, or terminate accounts that impose abusive load or violate these Terms.
5. Credits, Billing, and Payments
- The Service uses prepaid credits. Credit packs (including $10, $25, and $50 USD packs, or other packs we offer) are purchased through Stripe.
- One (1) credit equals USD $0.0001 unless we publish a change. Successful billable requests are charged based on estimated provider token cost multiplied by a platform fee factor (default 1.10, i.e. 10%), rounded up to whole credits, subject to product configuration.
- Prices are exclusive of applicable taxes, which may be collected where required.
- Credits are consumed as you use the API. Insufficient credits may result in HTTP 402 or equivalent errors until you purchase more.
- We may adjust pricing, fee factors, or pack sizes with reasonable advance notice for material changes affecting future purchases.
6. Refunds and Cancellations
- Because credits are prepaid digital goods that can be consumed immediately, purchases are generally non-refundable, except where a refund is required by applicable consumer protection law that cannot be excluded by contract, or where we elect to issue a discretionary credit/refund.
- You may stop using the Service and delete your account at any time. Unused credits are forfeited on account deletion unless we expressly agree otherwise in writing.
- If a widespread Service outage is caused solely by our infrastructure and persists for more than 24 consecutive hours, we may, at our discretion, issue account credits. Such credits are not cash-redeemable.
7. Service Availability
- THE SERVICE IS PROVIDED ON AN "AS AVAILABLE" BASIS. We do not guarantee uninterrupted, error-free, or continuous operation, and we do not currently offer a contractual uptime SLA.
- Accuracy and availability of answers depend on third-party AI providers, networks, and your inputs. Failover cannot succeed if all configured lanes fail or if your request is blocked (for example by PII policy or insufficient credits).
8. Intellectual Property
- ElseLane software, branding, documentation, and related IP remain the exclusive property of Boolean Array Canada.
- Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal applications.
- You retain rights to content you submit. You grant us a limited licence to transmit and process that content solely to operate the Service (including sending it to AI providers you invoke via routing).
- "ElseLane" and associated marks are trademarks of Boolean Array Canada.
9. AI Outputs and Third-Party AI Processing
- Outputs from AI models may be inaccurate, incomplete, or inappropriate. You are solely responsible for reviewing outputs before relying on them in production or publishing them.
- Prompt content is processed by third-party providers under their terms. By using the API you consent to that transmission as described in the Privacy Policy.
- ElseLane does not warrant that outputs are free of third-party IP claims; you are responsible for your use of outputs.
10. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE SECURE OR ERROR-FREE, OR THAT FAILOVER WILL ALWAYS PRODUCE AN ANSWER.
11. Limitation of Liability
- TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOOLEAN ARRAY CANADA AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.
- OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO ELSELANE FOR CREDITS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).
- Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the minimum extent required by law.
12. Indemnification
You agree to indemnify and hold harmless Boolean Array Canada from claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your content, your violation of these Terms, or your violation of any law or third-party rights.
13. Suspension and Termination
- You may delete your account at any time from the dashboard.
- We may suspend or terminate access immediately if you violate these Terms, abuse the Service, fail to pay amounts owed, or create risk to the Service or other users.
- Provisions that by nature should survive termination (including IP, disclaimers, liability limits, indemnity, and governing law) will survive.
14. Governing Law and Dispute Resolution
- These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law rules.
- Courts of Ontario, Canada have exclusive jurisdiction, except for urgent injunctive relief in any competent court.
15. Modifications
We may modify the Service and these Terms. Material changes will be communicated by email and/or prominent notice with reasonable advance notice where practicable. Continued use after the effective date constitutes acceptance. If you disagree, stop using the Service and delete your account.
16. Miscellaneous
- These Terms and the Privacy Policy are the entire agreement regarding the Service.
- If a provision is unenforceable, the remainder stays in effect.
- Failure to enforce a provision is not a waiver.
- You may not assign these Terms without our consent; we may assign in connection with a merger, acquisition, or sale of assets.
- We are not liable for delays caused by events beyond reasonable control (force majeure), including third-party provider outages.
